1. Information Disclosure Policy

At Tokai Carbon, we pursue a high degree of transparency in our business activities as a basic policy. We are committed to proactive and timely disclosure of information to our stakeholders (including customers, shareholders, employees, and society at large) in accord with our Corporate Ethical Guidelines.

2. Information Disclosure Standards

  1. We will expeditiously disclose information based on the principles of transparency, impartiality, and continuity in compliance with applicable laws (e.g., Companies Act, Financial Instruments and Exchange Act), applicable regulatory guidelines, and the Tokyo Stock Exchange's Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities ("Timely Disclosure Rules").
  2. We will endeavor to publicly release information of value to our stakeholders and/or the general public even if it is outside the purview of said laws and Timely Disclosure Rules. We will make such voluntary disclosures by appropriate means as accurately, expeditiously, and impartially as possible, regardless of any advantage or disadvantage to Tokai Carbon.

3. Information Disclosure Methods

  1. For information to which the Timely Disclosure Rules apply, we will make disclosures via the Tokyo Stock Exchange's TDnet information disclosure system in compliance with said Rules.
  2. For information outside the purview of the Timely Disclosure Rules, we will make disclosures by appropriate means (e.g., news releases, press conferences) as warranted by the importance and urgency of the information.
  3. We will promptly publish on the Tokai Carbon website any information that we have disclosed via TDnet or other said means.

4. Quiet Periods

To prevent leaks of operating results information and ensure impartiality, we will observe a "quiet period" for one month preceding the scheduled release of any earnings report. As a general rule, we will refrain from comment on our operating results during quiet periods. However, if a substantial deviation between our operating results and forecast comes to light during a quiet period, we may at our discretion disclose information to that effect by appropriate means.
